Terms of Service

1. Service Description

NeraTek ("we", "us", "our") provides an AI-powered lead management platform for real estate professionals in Portugal. The service includes an admin portal, AI chatbot integration, lead qualification, booking management, and analytics ("the Service").

2. Account Types

We offer two account types:

• Individual accounts: For independent real estate agents. Includes a 14-day free trial, then €29/month + VAT.
• Agency accounts: For real estate agencies with teams. Pricing agreed separately.

3. Account Registration

By creating an account, you confirm that you are at least 18 years old, that the information you provide is accurate, and that you are authorized to use the Service for your real estate business activities. You are responsible for maintaining the security of your account credentials.

4. Subscription & Billing

Individual accounts:

• 14-day free trial from registration date. No payment required during trial.
• After trial: €29/month + VAT (23% in Portugal), billed monthly via Stripe. Prices are stated excluding VAT; EU businesses with a valid VAT number are invoiced under the reverse-charge mechanism.
• You may cancel at any time through the billing portal. Access continues until the end of the billing period.
• We may change pricing with 30 days' notice via email.

5. Acceptable Use

You agree not to:

• Use the Service for any purpose other than legitimate real estate business
• Send unsolicited or spam messages through the platform
• Attempt to access other users' data or accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in violation of applicable laws, including GDPR and Portuguese data protection law
• Upload malicious content or attempt to compromise the platform's security

6. Your Data & Responsibilities

You are the data controller for any lead data processed through your account. NeraTek acts as a data processor on your behalf, as described in our Data Processing Addendum.

You are responsible for:

• Ensuring you have a valid legal basis (e.g., legitimate interest) for processing lead data
• Responding to data subject requests (access, erasure, portability) within GDPR timeframes
• Notifying NeraTek promptly of any data protection concerns
• Ensuring the AI chatbot disclosure is included in first messages (EU AI Act, Art. 50)

7. Intellectual Property

The Service, including its design, features, and technology, is owned by NeraTek. Your data remains yours. You grant us a limited license to process your data solely to provide the Service.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by Portuguese law, NeraTek's total liability is limited to the amount you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or lost leads.

10. Termination

Either party may terminate at any time. Upon termination, your access ends at the end of the current billing period. We will retain your data for 30 days after termination, after which it will be deleted in accordance with our Privacy Policy.

11. Changes to Terms

We may update these Terms with 30 days' notice via email. Continued use after the notice period constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by Portuguese law. Disputes will be resolved in the courts of Lisbon, Portugal.
